These Terms of Service (“Terms”) govern your access to and use of the VoxBond Communications (“VoxBond”, “we”, “us”) website and any proposals or services referenced herein. By accessing the site, you agree to these Terms.
1. Use of the site
You may use this site for lawful, business purposes. Do not misuse the site, interfere with security or access, attempt to reverse engineer, or submit unlawful content.
2. Proposals and engagements
All proposals are invitations to discuss scope and are non-binding until a mutual services agreement (MSA, SOW, or similar) is executed. Timelines are estimates and depend on availability, approvals, and third-party factors.
3. Client responsibilities
- Provide timely, accurate information and access to stakeholders.
- Designate a decision-maker and escalation path.
- Observe applicable laws, regulations, and platform policies.
4. Intellectual property
Unless otherwise agreed, you own your pre-existing materials and approved deliverables. VoxBond owns pre-existing IP, methodologies, and tools used to provide services. Each party grants the other a limited license as needed to perform the engagement.
5. Confidentiality
Both parties will keep confidential information private and use it solely to perform obligations, subject to customary exceptions (public information, independently developed, legally required disclosure).
6. Payment terms
Fees, billing schedules, and expenses are defined in the applicable SOW. Invoices are due upon receipt unless otherwise stated.
7. Disclaimers
We do not guarantee specific media outcomes. Earned coverage depends on third-party editorial discretion. The site is provided “as is” without warranties to the extent permitted by law.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages. VoxBond’s aggregate liability under these Terms is limited to amounts paid for services giving rise to the claim.
9. Termination
Either party may terminate an engagement for convenience with written notice per the SOW, or for cause upon material breach uncured within a reasonable period.
10. Governing law
These Terms are governed by the laws of the State of California, without regard to conflicts of law. Venue lies in San Francisco County courts.
11. Changes
We may update these Terms at any time by posting the revised version with a new effective date.
